This paper introduce with detail the conception and behavioral character of the executive officer of a listed company, and point out in this economic life in which exists all descriptions of opportunities, competition scrabbled for preeminent management become more and more drastic among companies. Executive officer, the core character in listed company, is a kind of infrequent resources, they will move to the company in which will achieve their maximal benefits according to the market economy rule. Establishing a suit of effective compensation impetus system will fetch in and retain preeminent management, and will bring them into play in activeness and innovation to the full. This is the sticking point for listed company to live and develop.This paper analysis more than 600 listed company from 2001 to 2002 successively, on this basis, and discover these questions that exist the compensation incentive of the executive officer, Considering the particularity of human capital of the executive officer, it is imperative to link their compensations to performances of the listed company, establish the impetus-stipulation mechanism for the executive officer genuinely. The executive officer's avail in accordance with the goal of the shareholder's maximal benefit, obtain the fusion of the impetus and stipulation genuinely, both the executive officer and the shareholder win in production. This paper design a suit of compensation incentive system for the executive officer of the listed company, include annual emolument; long-term incentive emolument-stock option; consumption on position; indemnified income, thus perfect the compensation's structure of the executive officer of the listed company. At last, this paper make clear that not all long-term incentive such as stock option is better than stipend, the key factor depend on the stage of life period of company, developing company and fading company consider different factor, when they design compensation system for executive officer, also the stress of compensation incentive system is different. Specific analysis the specific situation, the listed company alsoconsiders the level of need of executive officer in real, what is the further need, whatis larger effective.
