| Recently, national economy kept developing fast. Hi-tech company playes an important role during development and becomes a new highlight. Hi-tech company needs enough funds in every knot, such as technoledge R&D, innovation, applying.Because of the venture of technology, market and management, hi-tech companies are always accompanied with huge ventures so that they can not get enough funds from tranditional capital market. Venture capital that hi-tech company needs is a kind of high venturous and high profitable right investment. We have not yet set up a system of law to regulateventure capital investment field. So there is a phenomenon--on the one hand, hi-techcompany has financial problems; on the other hand, abundant individual capitals are saved up in the bank due to lack of ways of investment so that they are not willing to be the capital supplier for hi-tech company. My paper will use institution as a tool to deal with how to absorb and regulate individual capital into hi-tech company.The value of my paper is on the basis of researching the problem in financial difficulties in hi-tech companies and individual capital saved in bank. By describing the definition and characters of VC, introducing the government's behavior and supporting system of VC field, theoretical achievements are overviewed in my paper.VC's development is significant in America & Japan. By analyzing survey of America & Japanese VC, I summarize the major characters of them, then supporting the reference for the VC's developments in China.There is an important part that is analysis of individual capital. By researching the possibility and necessity that individual capitals become the principal part of VC in hi-tech, referring to other experts' achievements, the author mainly analysis the individual structure, investment desire and investment decline, researching the way of investing and degree in different stages of hi-tech. Then the author summarizes the obstacles and difficulties of individual capitals transforming into VC.Government's behavior influences on VC greatly because of the capital market defects. The author mainly researches the institution design function of government, then summarizes the categories of government behavior.After invested into a hi-tech company, individual capitals need a safe environment. The author mainly researches the trust-agent relationship among individual investor, investment organization, venture capitalist and hi-lech company, and the exit of VC.The author takes Jiangsu province as a research field in evidence research part. By researching the individual capital volume, structure, investment desire and investment environment, the author gives six policy suggestions.
