Study On M&A Strategy Of Science & Technology Enterprises

It is a signal for knowledge economy's coming that global economy integration and the dramatically developing of science and technology. With the competing of global enterprises becoming acute, science and technology enterprises become the main actor of the fifth global M&A and science and technology enterprises in the world have done a large amount of M&A activities surrounding the acquisition, accumulating and applying of knowledge resources. The dramatically developing the science and technology enterprises in China is becoming the new increasing point of the Chinese economy. Being in the spring tide of economy globalization and information technology revolution, The science and technology enterprises in our country configuration resources through the mode of marketing and realize the strategy of expanding through the mode M&A so as to exalt the core competition competence. With China joining WTO and the building and consummating of internal capital market, the M&A and integration of science and technology enterprises is taking into daily course little by little. Based on the research of the theory and practice of M&A abroad, the summarization of the special law in the science and technology enterprises has the most important practical significance for directing the application the M&A strategy of the science and technology enterprises in our country.Firstly, this paper carries out some research about theory, introduces the basic concept, content, class and research outcome in theory of the enterprise M&A which includes the economy definition of enterprise M&A by the west scholars, the research outcome of capital concentration Marx did and the research outcome of enterprise quitclaim dealing the scholars of our country did, then summarizes the conclusion and research outcome of the M&A practice which introduces the global M&A developing history mainly from America and China. Secondly, this paper discusses science and technology enterprises, which is the offspring of new economy from the aspect of theory analysis and the concept of science and technology enterprises and trade characteristic and developing law.In the main part, this paper deeply discusses the developing strategy of science and technology enterprises combining enterprise M&A with the developing strategy of science and technology enterprise with the help of the extant strategy analytical tools and draw a conclusion that the science and technology enterprises get resource and integrate the industry chain necessarily through M&A etc. external expanding mode as to exalt the core competition competence. This paper put forward a suit of courses which science and technology enterprises deploy M&A strategy through the research of IT trade and the M&A law of IT trade. Finally, this paper analyzes the emphasis and difficulty of the science and technology enterprises deploying the M&A strategy, which include the value assess and M&A integration of the science and technology enterprises.
