As a worldwide tide, the mergers & acquisitions (M&A) of the transnational corporations (TNCs) has become the main method of TNCs' Foreign Direct Investment (FDI). With the China's accession to the WTO, Chinese companies are increasingly facing a unified and open market and the Chinese market which has a great large developing potential will become the main scope of TNCs' competition. We can forecast that a tide of TNCs' merging Chinese companies will come soon. How to treat the behavior of the TNCs' M&A is a great task we face now. Under this macroscopic background, this thesis use Strategy, the theory of FDI ,Organization Behavior and other theories to analyze the behavior of the TNCs' M&A comprehensively. This paper tries to establish a full-angle analyzing framework, which consists of five parts below:1. TNCs' strategy and goals of M&A inChina;2. the environment TNCs face in China;3. the advantages of M&A as a mode of investment;4. the internal requirement by both M&A parties;5. the success mechanism of M&A.This paper also discusses the legal environment of TNCs' M&A in China and the feasible M&A modes. |
