Research Of Corporate Governance Based On The Structure Of Stock Right

This article studied the relation between the structure of stock right and corporate governance from theory angle and the angle of real example. In the hope of solving the problems of corporate governance. From theory angle, this article analysed the relation between the shareholder's type, the shareholder's nature, the concentration degree of company, and corporate governance, and after that, this article analysed the relation between stock right structure and outside governance, stock right structure and the way of governance. After that, we know: The legal person of enterprise have positive function; the state-owned stock has lengthenned the chain of acting as agent, and lack corresponding mechanism, thus the function in the company managed has been weakenned; We can draw the conclusion at the same time, circulation share of certain proportion helps the company to manage the improvement of the result.After analysing the 3 years' parallel data from 2000 to 2002 of listed company of electronic plate of our country, we got some conclusions, but the result analysed with the theory is inconsistent in some aspects to the result of analysing in real example indicates that the existence of the state-owned stock and company achievement do not have obvious dependence, thus we should think carefully about reducing he state-owned stock. In addition through analysing the relation between the structure of stock right and the leader of board of directors in addition that we have gotten the following conclusion: State-owned stock unify and have linear dependences with duties by proportion, and President hold a part-time job and present linear dependence big shareholder proportion of holding shares.At last, based on the result of theory analysis and real example analysis and combining macroeconomics theory, we find out the scheme to optimize the structure of stock right of listed company of our country, cultivate the subject status of the corporate share mainly, and draw lessons from Germany's merit and Japanese's merit, make the bank get involved corporate governance. We adopt the state-owned stock to transfer to the state-run corporate share to the treatment way of state-owned stock, and withdraw some state-owned stocks in the unimportant field, get involved in some new fields at the same time, and get the folk capital involved, alleviate the pressure with too high residents' deposits of our country. And thus keep the economy of our country developing healthy, lasting, and fast.
