The study focused on the process characteristics of entrepreneurial strategy and entrepreneurial cognitions on the basis of the previous research about entrepreneurship research, integrating strategic management research and entrepreneurial cognition research. We discussed the relationship among the corporate entrepreneurship strategy, entrepreneurial efficacy, risk perception and entrepreneurial performance in Chinese companies.We Studied the characteristics of entrepreneurship strategy and entrepreneurial cognitions characteristics under the factors such as entrepreneurial stages of companies and the organizational structures. At the same time, we would provide some suggestions for entrepreneurial management through questionnaire survey, interview and case analysis.Two hundred and seventy-six employees from more than sixties companies participated in the interviews, case studies and questionnaire survey. The hypotheses were largely supported. The main results were showed as follows:(1) Entrepreneurship strategy consisted of self-renewal strategy, innovation strategy, proactive strategy, business venturing strategy, plan-based strategy and opportunity-based strategy. Entrepreneurship had a direct significant influence to the corporate performances.(2) The characteristics of entrepreneurial cognitions included entrepreneurial self-efficacy and risk perception, they affected corporate performance directly.(3)The entrepreneurial cognitions had significant affects in the relationship of entrepreneurship strategy and entrepreneurial performance. Entrepreneurial strategy affected entrepreneurial cognitions firstly and then to company entrepreneurial performance.(4)There was significant variance on corporate entrepreneurial strategy and entrepreneurial cognitions under different size, property, venture-creation times conditions, but there wasn't significant variance under different industries, entrepreneurial stages and different levels of employees.(5)The moderate role of centralization, venture-creation times on the relationship between entrepreneurship strategy and performance was significant.(6) Venturing Strategy was more significant in entrepreneurial company than none-entrepreneurial company, innovation strategy, financial efficacy and risk-taking was less significant than none-entrepreneurial company, and there wasn't significance on else entrepreneurial strategy and entrepreneurial cognition between this two types of companies.
