Modern firm theory argues that enterprise is a complicated contract composed of independent assets. If understanding from the perspective of human capital theory, we can know clearly that enterprise is a complicated contract composed of independent assets such as capital and human capital. So idiosyncratic entrepreneurial human capital which lies in the core position of human capital occupies a major position in the overall corporate production, and is the most costly resource for enterprise. That entrepreneurial human capital shares the residual claim is the important content of transformation of modern corporate production connotation. However at present it is normal that human capital especially entrepreneurial human capital was looked down on and underestimated in china. The property right of entrepreneurial human capital was not accepted by the enterprise. Entrepreneurial human capital's residual claim was deprived. All of these result in necessarily high cost of running and bring on all kinds of corruption behaviors. So there is a very significant meaning identifying the value of entrepreneurial human capital and compensating CEO accordingly.This dissertation looked back the economists' firm contract theory , entrepreneur theory and human capital theory, and on the basis of these theories I bring forward a new perspective of banding together human capital theory and firm contract theory to study the question of CEO's income. Then the dissertation demonstrated the logic precondition that entrepreneurial human capital participate in corporation earnings, discusses the questions of price-making of entrepreneurial human capital, and explored the development of executive compensation system in China, furthermore constructed the corporation profit distribution models that take entrepreneurial s human capital as an important distribution factor with the long-run compensation incentive as the core model. The aim of this dissertation is to mobilize the entrepreneur's go-aheadism and enthusiasm, prevent a series of corruption behaviors that heavily exist in nation-owned enterprises in china.
