Ⅰ. The main argument of the thesisThe central idea of this thesis is about the contract theory of the enterprise in a market. Enterprise can be regarded as a special contract, which is concluded by all kinds of human capital in the enterprise for one's own maximum interests. The author's views different from others' are that by choosing the management entrepreneurs, the assets owners of the enterprises can be regarded as another kind of entrepreneur(behind document call it owner entrepreneur) and the assets that the owners offer to the management entrepreneur form a part of the entrepreneur contract. In this contract, the entrepreneur's marginal output distribution, that is profit distribution also, is in the centre, and around the centre it brings the issues of entrepreneur encouragement and the allocation of risks. The encouragement to entrepreneurs is very important, and it cannot be said too much. However, we cannot ignore the assets owners ' role. They needn't encouragement, but they need respect and protection because it is their original sights that enable entrepreneurs to show their talents and have an opportunity to create the wealth for the society and it is they that are responsible for the operating risk finally in the end.Ⅱ. The structure and the main content of the thesisAt first, this thesis carries on a survey on the relevant theories. Secondly, it proposes that human capital have three characteristics which have important influence on the enterprise contract, and then it concretely analyzes the content among the contracts of all kinds of human capital. At last, the thesis illustrate in a simple way that transforming human capital into material capital is an effective encouraging form to entrepreneurs.Chapter One is the documentary survey of the theory of human capital and enterprises. Human capital is a stock that includes variouskinds of forms such as knowledge, technical and managerial ability attached to the people by which one can get some incomes. Human capital has a lot of forms, but it mainly refers to various labor capacities and managerial and administrative abilities. In modern economics, any trade in the market can be regarded as a kind of contract that is, any trade, either apparent or latent, relies on a certain contract. So contract analysis becomes the most basic method, and all economic relation between every body can be transformed into or interpreted as the issue of the contract, and we can study it from the contract.In the development of the human capital theory, Schultz is praised as "the father of the human capital" and Becker's masterpiece "human capital" is regarded as the starting point of "the revolution of the human capital investment in the economic ideology" by the western economics academia. The main content of their theories lies in explaining the concept, the formation and the function of the human capital on economic development. In our country, the human capital theory is mainly in accordance with the practice of the economic system reform, combined with the principal-agent theory and about how to encourage entrepreneurs and make important development in human capital property rights.The second chapter discusses the three important characteristics of the human capital that have great influence on its contract. At first, according to the characteristics of property right of the human capital, human capital can't exist independently without its carriers and can't separate from the person himself. In addition, the right of using the human capital can be divided into nominal using right and actual using right. Because the use of human capital finally must go through the person who is the owner of the human capital, nominal using right has direct relation with investment and trade, but actual using right only belongs to the person himself. This is its natural attribute. According to characteristics of the human capital, the whole ownership of humancapital can't be exchanged, and human capital can't be a mortgage and can't undertak...
