Incentive Mechanism on Stock Right has become the brand-new means to improve the enterprise management and administration in Manpower capital and knowledge era of capital in 21st century. How to encourage staff to explore the potentiality to serve the enterprise and how to improve management performance of enterprises through stimulating the staffs work devotion already becomes the focus among them.Since American lawyer Louis Kelso proposed in the 1950s,ESOP has been carried out extensively and it affected the enterprises domestic and oversea. As the key point of welfare stimulation idea, ESOP was called" the very quiet revolution". Compared with similar enterprise, those which carry out the ESOP are 1/3 higher on labor productivity, 50% higher on the average rate of profit, 25-60% higher on average of the salary .ESOP was known as the engine which drives the economic growth.Stock option system rose in the middle period of 20th century. As a long-term incentive mechanism, Stock Option was popular among those big enterprises in westen countries. It was used to encourage the executives for a long period. Practice has proved that Stock Option was effective measures on attracting, keeping and encouraging workers and to improve the productivity.Although enterprises of China have gone through the reforms of more than 20 years, the present incentive mechanism still has very great disparity with the western developed country. State-owned enterprise property right distinct, corporate culture lag behind, lack of long-term encouragement factor, etc. which is more serious now. Meanwhile, under the sustaining situation of extending and open and global economic integration, China has joined WTO, which will face fiercer and fiercer talent competition. So how to encourage the staff is becoming the urgently problem in Chinese enterprise.Just under the background, some Chinese enterprises tried to pursue the incentive mechanism of the stock right in the 1990s, But for various reasons, still there are manyproblems in implementing the stock right in our country. This text is making a concrete analysis on the experience and lessons of the incentive mechanism of the stock right.
