The reform of Property Right is undoubtedly one of the crucial parts in the Reform of current ChinaMainland, especially in the Reform of the State-owned Enterprises. As one effective mechanism,Employee Stock Ownership Plans (ESOP) not only has improved the welfare of the employees, butalso played a significant role in the related reforms of foreign countries. On the other hand, theReform in China is well known for its revolutionary spirit. There are so many factors that can affectsome new innovation or some adjustment of old mechanisms, and ESOP in current China is stickingin the mud for the suspensive policy of the government. This paper begins by the introduction of the economic theories on the ESOP in west countries,and analyzes the legal idea of ESOP in China, checking the traditional aims of justice and efficiency.At the end of Chapter 1, I conclude that ESOP can advance the democracy and our governmentshould support it by legislation. In Chapter 2, state of the art is given. The process and weakness ofESOP in China is analysed from four aspects with the emphasis on the difference between theemployee-owned shares and common ones. In Chapter 3, from a macro view, I would like to givesome personal suggestions on how to improve ESOP in China, including some specific mechanismsat different stages.
