In our country banking setup, the benefit of state-owned commercial banks that got the ascendancy over, not only affects the state-owned commercial banks' management and marketplace competition on the microcosmic, but also affects effectiveness of resources layout and latent capacity together with quality of economic growth on the macroscopic. In numerous elements effected the management effectiveness of the state-owned commercial banks, the state-owned commercial banks lacking valid corporate governance structure has become one of the key elements. As a matter of fact, when China is acceded to the world trade organization and expedite the open of financial market, the competitions between the state-owned commercial banks and foreign capital bank are not only the management on the money market, the competition of corporate governance structure has more material meaning. With the data of 55 great banks of the west country at the end of the 2003, I analyze the infection of the proportion of ownership, the proportion of state-owned stock, the proportion of organization grasps, and the director's independence and so on to commercial bank.Then, I analyses the fault of the state-owned banks' corporation in our country.At last, the article reaches problems of corporate governance in the state-owned banks and put forward measures according to modern bank system.
