State-owned commercial banks (SCB) are the backbone of China's financial system. The adequacy of the corporate governance in SCB has a direct effect upon asset quality and operating efficiency as well as the stability and efficiency of the whole financial system. This paper makes an in-depth study into the characteristics and flaws of the corporation governance in SCB.Since the first foreign branch office was approved of opening in Beijing, financial openness has been one of the major institutional factors in the institutional transition of the corporate governance in SCB. With China's entrance into WTO and the signing of Sino-US and Sino-European trade agreement, unprecedented challenge was brought to financial institutions including banks. The institutional transition of corporate governance in SCB is to be exposed to an ever-changing financial environment. Therefore the causes and trend in the institutional transition need a careful study. After a thorough study of the modes and rules of corporate governance abroad and the institutional traditions and transitional economy in China as well as the particular problems of commercial banks, the target mode of the corporate governance in SCB is produced.
