A Study On The Corporate Governance Of The State-owned Construction Enterprises

The corporate governance comes from the development of the modern corporation. It is the systematic arrangement of a set of criteria and duty, right and benefits, which relate to the legal person's property. Through making the balance of the systematic arrangement, it realizes the restriction and inspiration to the managers to meet the shareholders and stakeholders' rights and interests.State-owned construction enterprises play an important role during our economy development, their success or failure directly relates to the ability and level of national economy development. So the study on the administrative structure of state-owned construction enterprises during corporation reformation has considerable era meaning and is very important for practice.Due to historic causes, the stockholders' right of most of the corporations is too concentrated, and national shares hold the main position, therefore the common problems of the corporate governance during economy system transformation comes out. Through introducing the related theory of the corporate governance, and analyzing the background and basic characteristics of the legal person's governance in America, Japan and German, this thesis also presents the comparative analysis. Through analyzing the problems existed in legal person's governance of state-owned enterprises, this thesis puts forward that a way to perfect the legal person's governance. It also presents some suggestion and countermeasures adapting to the situation of china to resolve the legal person's governance problems of state-owned enterprises through multi-purposing shares structure of state-owned shares and properly dealing with intern-persons' governance, inspiration and restriction, and the relationship between the new three-meeting and the old three-meeting.According to the study of this thesis, aiming to the corporation reform of No. Three Construction Ltd. Co. in Tianjin, as the conference for corporate governance of the State-owned construction enterprises, this thesis puts forward the advice and countermeasures of the corporation reform.
