The Research On The System Of Board Of Directors Secretary In Our Corporations

Effectiveness and security, the value in law theory what corporation secretary system (CSS) in common laws owns can make important role in enhancing the effectiveness of a corporation, degrading corporation operative cost, strengthening the inside constraint of corporation andjmproving the exterior security of corporation. In the process of building the system of modern enterprise, the secretary of a company system in common laws has been replanted into our law system and the system of board of directors secretary (BDSS) then has been built in our corporations. Because of the deviation of the value orientation and the technical matters, nowadays BDSS brings little effect. This thesis probes the value tropism what we must stand by when replanting the secretary of a company system on the basis of its efficiency and security value, connected with the acceptance of the frame of company management to CSS, and discusses the improvements of our BDSS.The thesis consists of four parts. It discusses systematically the matters of grafting CSS and making it fit our practice what it means that building the whole improved frame of our BDSS.Part 1 is the preface that concisely introduces the origin of CSS in common law system, the process grafted it, then gives the thinking of this thesis and the sense of this research.Part 2 mainly interprets the reasons of grafting CSS, pointing out that the value of effectiveness and security can supplement our company management frame.Part 3 researches our BDSS nowadays, introducing the progress of BDSS building and evaluating the value tropism what was stand by when we grafted CSS.Part 4 expounds how to improve our BDSS, on the basis of macroscopic aspects what concludes adjusting the value tropism and formulating laws for BDSS, then discusses how to improve the microcosmic aspects of BDSS.
