Company secretary plays an important role in corporate governance who is as a bridge of adjusting relationship between the company's inner organizations, a majordomo and spokesman of company security affairs, as well as the keeper of the company governance. In the process of building the system of modern enterprise, the company secretary system in common laws has been replanted into our law system. After more than ten years this brings little effect. This thesis probes the value tropism what we must stand by when replanting the secretary of a company system on the basis of its efficiency and security value, connected with the acceptance of the frame of company management to the secretary of a company system.The thesis consists of four parts. Part 1 introduces the origin and development of company secretary system in common law system, and the law graft process in continental law system. Part 2 does some theory analysis both from economic and jurisprudential perspectives, then study the details of the company secretary system in common law. Part 3 researches our company secretary system nowadays, introducing the process of system building and the main problems confront with us. And Part 4 discusses how to improve this system in our country. The latest amendment of Company Law covered this system but restricted it to listed companies. We should extend its applicable range and improve the immature legislations.
