The Design For Northwest Company's Stock Right & Administration Structure And The Research For Relevant Problem

The paper is based on the view and goal of management theory in the modern company, using research results and conclusion of the stock right structure and administration structure. It has analyzed characteristic of northwest company's stock right structure and administration structure and the problem of agency that must be produced and inefficient result which enterprises manage. It points out, under the outside environment of northwest company at present , concentrating the stock right and giving play to the role of controlling shareholders in the company management is the important means to improve the company's management and company's performance of efficiency. In view of the above, the author has designed the stock right structure of the northwest company and administration structure scheme. First of all, the author analyses the state of stock right structure and administration structure at home and abroad, attempts to establish the relation among stock right structure, administration structure and company's performance. The result indicates that the stock right structure influences company's performance through influencing the behavior of company management, but the relevant relation of both does not have unanimous conclusion yet. Secondly, we found that different structure of stock right are generated and become different governing mode under the effect of diversity of the way of economic development to each country, culture tradition of the society, legal system of politics and stage of economic development after studying actual practice of management for company from different countries. A typical one is market-leading mode of management to play a great part under high dispersing stock right and network leading mode of management under stock right structure that legal persons hold share alternately. Two modes have their adaptive conditions and special point respectively. With the development of global economy, two kinds of modes are merging reciprocally; the administration of controlling the shareholder gets the general attention of various countries. The research has offered the theory and practice foundation for the designs of northwest company's stock right structure, administration structure.Finally, the paper takes efficiency of company's administration structure as the goal, subjects to internal and external environment of the company, designs control the stock right structure that administration and supervision authorities control interest relatively in northwest company and has arranged the corresponding administration structure according to its characteristic. On this basis, the paper studied the relevant problem of stock right scheme implement. The author thinks that scheme is feasible in northwest company. It can guarantee administration structure and play a grate part in supervision and encourage function, realizing the goal of managing in the company smoothly.It is a pity that the project haven't been fully executed and its effect should be verified by the following study.
