Sichuan Electrical Apparatus Co. Ltd.( hereafter as SEAC) produce the high voltage switchgears and whole sets of equipment, which used in the transmiting-distributing electricity system. With the new economy growth cycle starting in our country, demand for electric power grows quickly, as a result, the transmiting-distributing electricity system investment become rapid, the enterprises of the high voltage switchgear industry faces a market opportunity. However, the competition in the industry is intense, whether a company can acquires more profit and market share, the executive officers is pivotal. Ulteriorly, whether the excellent executive officers work with motivity, it will be decided by the inspiriting-Restricting System of a company. Lately, SEAC can't break away form the bad status that the market share becomes smaller and profit is in air. In fact, SEAC hasn't a inspiriting- Restricting System that can not only inspirit the executive officers carry on the necessary reform but also restrict officers . Last year, SEAC get into a huge deficit again ,it compels us diagnose completely the current inspiriting- Restricting System of SEAC and put forward a settlement project at once.The purpose of the dissertation is, by basing on the theory about devolving-deputizing and Inspiriting- Restricting System of the ExecutiveOfficers analyzing the main problems of the capital stock structure and inspiriting-Restricting System of SEAC, at the same time, making use of the methods of the state-owned share enfeoffing and inspiriting- Restricting the executive officers, bringing forward a settlement project ,that includes achieve state-owned stock exit from SEAC and rebuild the inspiriting- Restricting System of SEAC, and seizing the executive officers' benefit with SEAC 'long term development , urge the executive officers to transform the company completely and rationalize the management behavior, in order to promote the market competitive ability of SEAC and creat some satisfactory profit for the owner .The dissertation includes four parts, above all it explain the diagnosing is the only way to change SEAC, then it introduces the correlative literatures and theories, afterward apart from two sides,inspiriting and Restricting, analyzing the main problems of the system of SEAC, in the end it put out the corresponding measures.Aiming at ownership is absent, it gives the method that state-owned shares exit from SEAC; contraposing the executive officers havn't enough long term inspiriting, the dissertation chooses stock futures model and put forward the realistic plan to supply the essential capital to the officers. The two points is the main achievement contacting theories and facts in the dissertation, it's also the emphases of the thesis. Restricted by personal angle and the knowledge, the diagnosis don't go deep in how to restricting the executive officers, which need me sthrengthen study and thinking in the research and work in the future.
