With the stage of enterprise Stock Incentive System coming into widespread in our country, the importance of setting up the Stock Incentive System becomes more importance. But how to set up the rules suitable for the enterprises and which model to be adopted? Owning to the absence of relevant laws and rules, faultiness of serial economic environment and disunity of local government regulations, it is very difficult for enterprises how to choose the proper Stock Incentive System model to be put in force.The text firstly summarizes theory foundation of Stock Incentive System briefly and analysis the popular oversea model of Stock Incentive System implemented. It classified the primary model of Enterprise Stock Ownership Plan (ESOP) and Executive Stock Option (ESO). And it introduced overseas Management by-out (MBO) model simply and summarize the practice and facts in China.Secondly refer to the foundation of the oversea basic sort models and practices of setting up the system, we conclude, summarize, abstract all the proclaimed listing companies already implemented Stock Incentive System. According to reference of domestic analysis articles about Stock Incentive System and we bring forward sort criterion of Stock Incentive System innovatively. Base on Key essentials , we constructed the sort matrix of and put forward the idea of MSO originate and analysis all the list companies implemented Stock Incentive System.Finally the text probe into the enterprises choosing strategy of different fields and of in different development stage and summarize the partial disciplinarian.Nevertheless, the text has no clear criterion of enterprises sorting. Using the dichotomy which be known well and distinguished easily, carve up all enterprises into national and private enterprises, into traditional and high-tech enterprises, into high speed developed and stable developed enterprises. If the close matrix in sorting enterprises can be set up, enterprises can be comply with the model clearly. It is an important research way in the future.
