"Village in city" is a particular phenomenon in the process of fast city urbanization. It has obvious Chinese feature under the background of city and village Dual government system. In the past few years, it has got more and more attentions from government , Village people and researchers ,they studied this point based on economics, sociology and science of city planning. But the reform is not easy , it will not only face the the ownership changing of the collective land, but also will face the problems such as capital limit and the benefits conflict in the reform and so on.This paper, based on the previous research, in order to Analyze basic characteristic and inside mechanisms of the "city in village", take the Xi'an as a example, scoop out the existing problems in reform process , Proceed the thorough research from the land government and operating: from the angle of the land system, put forward a new model to change the collective land to State-owned land which different from the traditional land confiscation mode; form the angle of the land management, put forward a model which through the land property management, it can solve the problem of the capital limit in the reform. In this paper, we also study the process of the benefits conflict in the reform using the tools of the game theory and give some countermeasure discussions. try to Establish a reform mode suit Xi'an.In the end, we realize that how to avoid the new"village in city" comes out is the main point and root to solve the problem. So, we give some useful advice and hopes to provide some use for further study and practice of "village in city".
