| The business secrecy is very important for the enterprises, It can create business interests or profit and can bring competitive advantage for its legal owners, but if the business leakage, then it will make a large damage to the legal owners, even lead the enterprises involve bankruptcy. Though it was so important, but there still are many legal owners did not realized the significance,and did not do anything to protect the business secrecy, at the same time the legal regulations is dispersed in many laws, so, in order to much better to protect the business secrecy, this article through four parts to analysis this question.In the first part, the conception of business secrecy is proposed, and analyzed the composition of the business secrecy, It contained confidentiality and value and manageability, if one information can become the business secrecy, it must have this three conditions. Meanwhile, this part introduced the scope of business secrecy。The second part made a comparison between the business secrecy and the state secrets, and the paten, through the comparison, we can more clear and definite know the business secrecy is what ,so the enterprises can take effective measures to protect the business secrecy.In the third part,we talk about the cognizance of business secrecy. In this part we stressed what is the confidentiality and value and manageability, and under what circumstance it can be confirmed the information have this three elements. At the same time we introduced the novelty and utility, in order to help solve the cognizance of business secrecy.The last part, on the basic of the three parts, proposed several suggestions to stress the protection of the business secrecy of enterprises. In the first place, the enterprises should take some measures to protect their‵s business secrecy, such as enhance the consciousness of protection, adopt some specific and effective methods. In the second place, we should formulate a uniform regulation of business secrecy.
