The theory of corporate social responsibility is an important theory involving a number of disciplines and fields since the 1930s, an effective way to solve the series of social problems brought by giant size of company. It is also a concept which can harmonize the relation between the company and the society, building a better and more harmonious society.The company's number-increase and size-expansion will infiltrate company'influence all the aspects of social and economic life, so the company has become an important subject in the modern social and economic life. The arrangement of the role makes it as a matter of course for the corporate to undertake the social responsibility. However, what is corporate social responsibility? Which social responsibility requires company to assume? How to promote corporate to undertake the social responsibility? Obviously, these are all the problems need thinking and solving. As a social organization with for-profit and sociability, the company should assume responsibility for employees, creditors, consumers and other stakeholders.To answer these questions, through seriously researching and thinking, the author intents to describe the corporate social responsibility's definition, characterization and implementation mechanism in this article. The article introduces the development and content of the corporate social responsibility in the first part, then briefly recommends the legislation and operating mechanism of the corporate social responsibility in the contemporary countries, deeply analyzes the problems about the corporate social responsibility in the legislation and practice, finally put forward a systematic and detailed advice to perfect the operating mechanism of Chinese corporation.
