On The Improvement Of Chinese State-owned Property Right Of Enterprises Trading Information Disclosure System

The full information disclosure is the key for the enterprise transaction system.China has initially established the state-owned property right of enterprises trading information disclosure system.It has played a significant role in promoting the establishment of just,fair, open competitive environment and in protecting State interests.However, the state-owned property right of enterprises trading information disclosure system of our country has just started,there are still not perfect. This article begins with the fundamental theory.Those problems in information disclosure of our country are analyzed, and the proposals to perfect this system are present on the basis of the study on the primary theories of information disclosure as well as the American legislation experience.The paper includes four parts as follows:The first chapter is about the fundamental theory. This part emphasizes on the necessities of the state-owned property right of enterprises trading information disclosure system of our country and the relationship between securities information disclosure system and it. The second chapter emphasizes on the state-owned property right of enterprises trading information disclosure system of our country.Firstly, this paper analyses its development and trend.Secondly, the provisions of the current laws are introduced.Thirdly, problems in information generated, information release and information disclosure supervision were discussed. Fourthly,to solve these problems, this paper finds that imperfect mechanism and imperfect legal system are two basic reasons.The third chapter introduces the relevant practice of the United States securities and exchange information disclosure. This chapter mainly introduces the framework, main characteristics and basic contents of the United States securities and exchange information disclosure,and puts forward three enlightenment for our country.The four chapter puts forward several suggestions to perfect the state-owned enterprise property rights information disclosure system of our country. On the one hand, some relevant basic work positively should be done, to play the good foundation, on the other hand, the author puts forward some specific improvement suggestions in four aspects that are legislation system, content and format, disclosure channels, supervision system.
