In China, studies on the private equity fund focused on empirical research. Researches on theoretical system and construction are scarce. Researches on the legal system structures are rare, too. So, the study on private equity funds in China is arising in this area, which will gradually mature and perfect.There are important meanings on researches and development of private equity funds in:First, private equity funds solve the growing problems of small and medium enterprises (SMEs)in a good way.Second, the private equity financing is the only-route for companies' oversea red-chip listing.Third, studies on the legal system of private equity funds are helpful to standardize and improve the its develooing mechanism.Fourth, studies on the legal system of private equity funds is contribute to improve the situation of investment and broaden channels of financing.In this paper, through comparative analysis the concept of private equity funds and other related legals, a profound grasp the meaning of private equity funds and characteristics. By introducing the development and operation of the legal system of private equity funds in domestic and foreign countries, analyzing affects to management and operation mechanism of the private equity fund from the status of foreign institutional environment and market environment. The development as well as the problems of private equity under fund in current economic system and market climate in China are summerized. Reasonable suggestions are raised combining with the legal system and other factors on the operation of our private equity funds.
