China's securities market has developed rapidly since twenty years ago. The basic market rules have been well established, and the market will be further developing towards multi-level, expanding to meet diverse financial needs. With the weak self-regulatory mechanism, the problem of insufficient regulatory resources will become increasingly serious. It is hard to regulate the whole market for the government. Establishing a sound system of self-regulation is a necessary requirement for the further development of the security market. Securities Association of China as one of the main self-regulatory organizations in the country is hard to play its due role. Through analysis of the functioning of Securities Association of China, this paper pays attention to the legal status of the association and its functional defects. This paper will bring some proposals, and wished can be useful for the future amendment of the Securities Law.This paper is divided into four chapters.The first chapter analyzes the basic theory of self-discipline, including the value of self-regulation and theoretical controversy of the status of the association.The second chapter discusses the present situation of the securities self-regulation and its exist problems. From the history of the association, this paper finds the main problem include two aspects, they are legal status unclear and incomplete functions.Chapters III and IV discuss the legal status and functions of the association respectively. In reference to foreign legislation and practice of the association, this paper study and make recommendations accordingly.
