With the maturity of modern information technology, E-commerce is taking more and more portion in the field of countries'commerce. Internet Online Shopping is an important aspect of E-commerce, and is becoming the main way of shopping. The traditional law system, facing the commerce revolution, is becoming out of date, which causes new legal problems. Thanks to the wide usage of E-contract, intention is expressed in the form of E-record. Such changes are challenging the principle of traditional commerce law theory.Business Internet-group-buying is a new and developing way of Internet Online Shopping. It concludes three patterns:comsumer sponsored, business network station sponsored, seller sponsored. The most popular pattern on the Internet is the business network station sponsored, which offers technique-support and service for buyer and seller. On living condition, electronic business contract is made by the way of Electronic Data Interchange, which is a kind of click-wrap contract. Plenty of trade volumes by Business Internet-group-buying are established everyday. However, there are many disputes happened, but no specific regulations and precedents to follow. This paper starts with the basic relations of contract, the essential element of E-commerce, then I conclude and analyse the main legal problems of the legal contract enforcement, trying to find the solution on the basis of the traditional contract theory and law in force. This paper is divided three parts to study on the issue of Internet-group-buying contract.In the first chapter, I will discuss the characteristics of the Internet-group-buying contract on the basic of numerous people debet. Then, I analyze the relations in the contract and the legal status of the network station.In the second chapter, I will analyse the validity of the contract. First, I put emphasis on the analysis of offer and promise.Second, I expound the influential factor of the contract validity.In the third chapter, I will analyse the obstacles about fulfilling the contract and the responsibility about the loss which is caused by the mistake of online payment.The research of this paper is based on the characteristics of the contract, which uses empirical analysis and theory analysis.
