In2009, the first group buying websites of the world called Groupon set in America, which caused a new revolution of group buying. Inspired by America, the first group buying website in China set up in2010, after that, more and more network group buying websites appeared, which caused "hundred regiments" even "1000regiments". The reason why people sought after receipt of this business pattern is the customers could get a good price from it. Now after4years, network group buying is still stand rock-firm in our lives.With the prevalence of network group buying, which triggered the dispute is increasing in recent years. The network group buying disputes are significantly higher than previously, which brings a lot of concern to the vast number of consumers. There are many unsolved problems on the law of this business model just as the main legal relations, legal relations, many problems of group buying contract and litigation jurisdiction are not well standardized, and they are different from the traditional contract of sale, contract method traditional ushered in new challenges. In particularly the research on the network group buying even on the business internet-group-buying are limited, the data is also not so much. The legal about this pattern of commercial is just blank, which caused the people both happiness and worried. Whether the future of this pattern of commercial will be long-term or short-term is up to ourselves. We should by all means in understanding it, then gradually make up the holes in it, make it better, the premise of it is we need to study its differences from conventional business contract, then make it perfect from the aspects of legal regulations, rights protection, trading mechanism and the supervision mechanism, as for me, all above it is necessary to study.This paper is divided into three parts, first from two business internet-group-buying triggered by the case and issues of them briefly. The second part is the analysis of the law of disputed cases, respectively, legal relationship main body and definition of the business internet-group-buying, analysis on the legal relationship and the validity of contract,the performance of the contract and the liability for breach of contract and contract litigation jurisdiction and evidence and so on. The last part analyzes the status quo of China’s business internet-group-buying, by way for example of the legal regulation of the existing world, discuss how to perfect the legal regulation of China’s business internet-group-buying.
