| The dissertation is concerning the problems and countermeasures of the constant growth of the MSBs (Medium-Small Banks) in M&A (Merger and Acquisition). The study angle of view is the development trend of the western commercial banks and the upgrade of competitiveness for the state-owned banks.Along with China' economic adjustment and upgrade, the MSBs are more and more important. However, the MSBs are confronting with various difficulties and problems. These are two topics for MSBs to raise the competitiveness and to keep on developing. Therefore, the MSBs must learn advanced managerial experiences from the foreign capital banks and the local larger banks, find their own shortages, and make full use of their advantages to make themselves stronger and greater in order to raise their competitiveness. Thus, the MSBs will have the abilities to face challenges from home and abroad and carry out a healthy development continuously.The paper studies with positive and normative methods, with the comparative methods, with the econometric regression, with DEA and Case Analysis .The conclusions are as follows:1.There is enormous potential developing space for the MSBs in China The theories research reveals that the banks, only in the management state of " appropriate scale ", will reduce administrative expenses, and will just increase the profits. The theories research reveals that the appropriate scale of banks depends on the situation of the technique material, the level of economy development, etc. According to natural endowment of the resource of our country, technology and market current situation, the function in perfecting the system of the bank, improving the service level of the bank, meeting the economic system reform etc. the MSBs should give full play to. This has important realistic meaning and far-reaching influence to development of the Chinese banking and even whole financial circles.2. The MSBs in China are setting up gradually. They have obtaining the great achievements in supporting the small business to grow, the business to innovate etc. The MSBs have become an important part of our country banking institutions.3. The MSBs in China are faced many problems during their development. (1) The market position is not proper. The market status of the MSBs in China has very strong administrative color. Their position of market was assimilated the state-owned banks obviously, therefore market status of the MSBs in China is very alike. (2) The capital scale dose not match the demand and the new mechanism of the capital complement should be investigated. (3) The asset quality needs to rise.
