This article, which is based on asset appraisal, attempts to discuss the problems and the solutions in the course of the State Owned Enterprises' reform. And the article consists of 5parts.Part 1 introduces the concept of property rights, demonstrates the importance and necessity of SOE's property rights reform empirically and conclude that asset appraisal plays a very important role in the process.Part 2 introduces theoretical basis and methods of asset appraisal, makes a discussion on the presumptions, advantages and disadvantages of different methodologies, which therefore lays solid foundation for further discussion.Part 3 puts emphasis on current status of China SOE's property rights reform and discusses some main problems. For example, using non-scientific appraisal methods, making appraisals non-completely, using non-correct appraisal procedure, and getting non-complete laws, etc. This part plays great emphasis on the appraisal of the invisible assets.Part 4 introduces the means of assets appraisal in dealing with SOE's assets in Britain, France, Eastern Europe, and Russia, etc. Then analyzes the experience and lessons to us from both sides, hoping a help to property right reform in China.Part 5 is the most important part of the dissertation. It makes some suggestions and solutions to the assets appraisal in the SOE's reform. For example, using scientific appraisal methods, getting appraisal completely, strengthening the appraisal of the invisible assets, sticking to market overt, observing the related laws, etc.The last part is the conclusion of the dissertation.Based on asset appraisal is the innovation of the dissertation. At the same time, the article introduces the experience and lessons of the foreign countries. I think it will be a great assistant to the SOE's reform of our country.Because of the limited knowledge and information, the article may have some problems.
