| The system of acquisition of shareholders' letter of authorization is a new question for study in the fields of corporation law and securities law. The acquisition of shareholders' letter of authorization has both advantages and disadvantages. For one thing, it can strongly protect the interests of corporations and shareholders and optimize the management structure of corporations, for another, it can also become a tool for opportunists to scramble for rights of controlling corporations and injure the interests of corporations and shareholders. Some countries and districts such as the United States, the Republic of Korea and Taiwan have already made corresponding rules about it by legislation. Since 21th century, there have been cases of acquisition of shareholders' letter of authorization in practice in the listed corporations in our country but what have been done is not standard due to the lack of its legal stipulation. This essay will, based on the analysis of value and rationality of acquisition of shareholders' letter of authorization, make tentative researches into the establishment and the perfection of this system of shareholders' letter of authorization in our country by using the legislative experiences of the main foreign countries and some districts for reference.
