Study On Independency Problems Of Independent Directors In Listed Corporations Of China

The problems of corporate governance in listed companies of China, due to historic reasons such as "an only big shareholder" and "internal person control"...etc, seriously affect the corporate governance efficiency. The system of independent directors prevailing and functioning effectively in western world was introduced to the corporate governance structure in listed companies of China, with focus on independency, the topic of this thesis, in the suspicion and criticism.Based on the definition of independent directors and their independency, this thesis analyzes the problems of independent directors in listed companies of China in aspect of nomination & election, inspiration & restriction and liability insurance, and puts up with suggestion for independence.
