Legal Research Of Insider-Trading Of International Securities

Insider trading is one of the worst frauds in the security market. Most countries in the world, whether in theory or in practice have listed the insider-trading as the one that deserves the severest punishment. Though our Country's security market has only a very short history, it has exposed all the ugliest aspects. To take insider-trading as example, China's Security Supervision Committee has settled 8 insider-trading cases from 1993 to 2000. we need to complete the legislation, strengthen the supervision of insider-trading, and we need to make a complete, exclusive and deep research for the insider-trading prohibition theory. It is especially significant when we face the globalization of the finical market. This thesis begins with an introduction of basic theory of insider-trading, through the research of the history, current situation, developing trend and new challenges confronted by the regulation of insider-trading make some comments and referential advice for the adjustment and cooperation of international insider-trading regulations joined by China, esp. after joining WTO. At the same time of actively participating international adjustment and cooperation in the field of security exchange supervision, we need to toughen the key institutions of security regulation—information disclosure system, set up more severe and scientific precaution system, efficient supervision system and civil, criminal and administrative institutions.The thesis is composed of 5 parts: fundamental theory of insider-trading prohibition, disclosing the inner connotation of insider-trading prohibition; the development of international insider-trading prohibition institution, introducing the successful experiences of certain countries in respect of insider-trading prohibition; new challenges confronted by the cross-national security inside-trading regulation: chief methods of adjustment and cooperation of current insider-trading regulation; the policy and standing of our country's insider-trading regulation in the trend of globalization, serving the financial legal system after joining WTO and the modernization of socialist market economy of our country.
