| The Concept of Independent Directors was started from British and American countries and there has not been any official description of it in any of the country till now. Theretically,it is not the position other than being the director in the company,being seperated from the management and trading roles,and other things which may influence them to make the independent justment.The director is the peole who will not stop the other employees and main shareholders to may the inpersonal justments.The policy of Independent Directors is a very important policy for company administration in British and American countries. The introduction of the above policy into Chinese companies has played a positive role in protecting the interests of medium-and-small-sized investors during the course of reform of listed companies. Because of unreasonable structure of shares and weak management of the board,the listed companies in China sometimes can not avoid the fate of being controlled by somebody inside the organization. Moreover,the Independent Director is still a new and systematically immature policy in china,which makes it difficult in practice and implementation. Therefore,the author, starting from the level of country system and the current country situation,has presented in the thesis 4 parts on how to improve the Independent Directors System in China.The first part has introduced the basis of Independent Directors, including its fundamentals origin and development in other countries. Independent Directors started from USA and has been gradually developed into a special system of this country after more than 50 years. The purpose of this system was to avoid the problem of the inner-controlling due to scattering of shares. The establishment of the System of Independent Directors can ensure the independence of the Board from legal system and organization structure point of view.
