This paper focuses on the issue of the corporation deadlock, which is one of the series of issues existing in the closed corporation. The appearance of corporation deadlock makes the normal operational state of the corporation at a standstill and risks the shareholders'interests and their investments greatly. Consequently, exploring the formation of corporation deadlock and seeking means to solve them by law are necessary not only to respond the needs of corporation law'practice, but also the needs to perfect corporation law theories. Concerning the legal issues on the corporation deadlock and studying further on them are the original writing intention.This paper at first analyses the background of the appearance of the corporation deadlock issue. It points out that the corporation is divided into two types in structure, which are the public corporation and the closed corporation. Then it analyses the corporation deadlock can easily arise in the closed corporation, hereby offering a suitable space to later analysis of the corporation deadlock. In addition, it analyses the formation of the corporation deadlock issue after expounding the conception and the harmfulness on the starting point of the normal legal issues of the corporation deadlock. Furthermore, it naturally brings forward the issue of the means of breaking the corporation deadlock. For the weighing of the value is the logical starting point of various concrete schemes of breaking the deadlock, this paper introduces relief measures in American Corporation Law via rational thinking.
