The Research Of Law Issues On Transnational Mergers And Acquisitions

With the accelerating step of global economy integrating investment, especially the Foreign Direct Investment (FDI), international capital flow has greatly progressed and some new trends have appeared in this field. Along with china joined the WTO, China's Market-opening process has been accelerated. The foreign capitals' direct investment and transnational mergers and acquisitions(transnational M&As) to China appeared an increasing tendency. In this process, transnational companies play a very important role. In recent years, transnational mergers and acquisitions have become a main form of direct investment in China. After became one member of the WTO , China has quickened its step to catch up with the process of globalization.Nowadays, transnational M&As is a world-wide hot topic in economic research field. The legal issues involved in transnational M&As are very extensive, so it's a difficult and systemic project to do thoroughly research in this topic. But in our country, the related research of transnational M&As only limited in the fields of Economy and Management. Little research was carried through in the field of constructing a scientific & high efficient legal system. At present, our country's legal system of transnational M&As is at a blank status, and the academic research of transnational M&As is obviously insufficient in our country. At the same time, our country is still a developing country which has explicit differences with other countries in economy condition .We shouldn't copy the international practice in transnational M&As' legislation, We should absorb the methods which is applicable to our country.At this background, and in this thesis, the law rules that China should make for transnational M&As was studied. Furthermore, the research methods include the historical analysis method, the demonstration analysis method etc were used.A basic consideration is as the following: Firstly, this thesis analyzed and elaborated the basic concepts of transnational M&As, The motivation and the Developing trends of transnational M&As quite systematically, which is the foundation and the start point of the research.
