The Regulation Of Corporation Law On The Affiliated Transaction Of Public Company

The thesis is divided into four parts, makes systematic and complete research and analysis on how to regulate public company reasonably in the visual field of corporation law. Chapter one analyzes basic theory on connected transaction of public company. Chapter two researches on the necessity of regulating public company. In order to provide valuable reference, Chapter three compares the lawmaking experiences on regulation of U.S.A (Anglo-American law system) and Germany (continental law system). Chapter four evaluates the condition of regulating public company, which points out that though the new corporation law made radical progress in regulating public company, there are some problems that can not be neglected.In chapter one , the thesis firstly researches on the basic problem of connected transaction. First of all ,it compares the legal definition of connected transaction in different countries and districts ,then raises its opinions .It says that there is no generally accepted definition at present .As far as the definition of connected transaction is concerned,I agree with the definition of "rules of SHANGHAI stock exchange "(chapter 10,section 1,Article 1) (revised in 2006) ,the thesis thinks that the definition covers nearly all connected transaction phenomenon in China.
