Along with the deepening of the reform and opening up in our country, the strategic adjustments of the overall arrangement and structure of the state-owned economy are being accelerated. Subsequently, some problems with the supervision system of state-owned enterprises have become more and more serious as well as the problem of internal control and the imbalance between the right and duty of the operators of state-owned enterprises. Due to the lack or imperfectness of supervision system, the power abuse of the operators of state-owned enterprises has become pervasive resulting in a serious of matters such as the considerable loss of national assets. Thus, to seek the internal monitoring mechanism which can not only ensure the operators of state-owned enterprises to exert power of office but also prevent and stop them abusing power has become the priority of all problems which should be resolved in the reform of our state-owned enterprises.This thesis, according to the "generality to specialty" logic structure, utilizing the research method of comparison, using the lawmaking experience and the theoretical results of foreign countries for reference, starting from the point of the internal monitoring mechanism, targeting the operators of state-owned enterprises as the supervision object, analyzed and estimated the internal monitoring mechanism of our state-owned enterprises and conceived a concrete proposal of the internal law monitoring mechanism on the basis of real situation of our country.
