Research On The Legal Efficacy Of Commercial Registration

This dissertation refers to legal efficacy of commercial registration. The Commercial Registration is researched systematically using the Comparative Law Method as the research method. Basing on the expatiating of the basic problems of Commercial Registration System and combing with the specific judicial case analysis of Commercial Registration System (e.g., the legal efficacy of Establishing Register System for China's Business Affairs and Modification Commercial Registration System for China), this paper analyzes existing problems and drawbacks in Commercial Registration System, combines the practice of economic social development, the requirements of judicial trail, and the beneficial experiences in the legislation of Commercial Registration all over the world, and proposes positive suggestions for the Commercial Registration for China. This paper is expected to perfect the Commercial Registration System for China based on the research of the legal efficacy of Commercial Registration, provide rich theory for The law of Commercial Registration, make it adapt to the market economy, maintain the beneficences of principals of Business Affairs, guarantee transaction security, and enhance transaction efficiency. The rest of this paper is organized as follows. Chapter 1 researches the general cases of the legal efficacy of Commercial Registration systematically.On the basic of the Chapter 1, the legal efficacy of Establishing Register, modifying register, canceling register is discussed further in Chapter 2, Chapter 3, and Chapter 4, respectively. In those chapters, judicial cases related to the corresponding systems are proposed and analyzed lawfully. Based on the analyzing of legal efficacy of establishing register, modifying register, canceling register and combing the legislation of Commercial Registration in other countries, the problems in existing register system is proposed and proposes some suggestions for the legislation of Commercial Registration, the reform of register department, and the perfecting register procedure.
