The Theoretical Exploration And Legislation Perfection Of The Revolution Of Commercial Registration System In Our Country

This article consists of four chapters. Chapter one is mainly about the basic theory of Commercial Registration System, this chapter introduced the concept, quale, function and the current theory study result of Commercial Registration System. The concept, quale and function are the basic content of Commercial Registration System. Only by doing a deep analysis on the basic content of it and knowing exactly about the quale and function of it, can we understand and discuss more specific about the spirit and details of Commercial Registration System. Chapter two is mainly about the problem of Commercial Registration System. This chapter is divided into two parts, according to the legislation and practice of Commercial Registration System, part one brought forward the defects and deficiencies of it and analyzed its necessity. Part two has expounded the problem of Commercial Registration System and mainly focused on the top four most important aspects, which are the subscription capital system, the separation of subject qualification and operation qualification system, the separation of residence and place of business system and the credit publicity system of commercial registration. The analyzation is focus on the necessity of revolution and the problem which existing in revolution. Chapter three is mainly about the inspiration, which came from the legislation of Commercial registration abroad to the revolution of Commercial Registration System in our country. Based on the fourth part of the second chapter in the second quarter, study the legislative situation of continental law system and Anglo-American law system, we summarized the relevant system that worth to learn from. Chapter four is mainly about the perfection and suggestion of Commercial Registration System. The first part of this chapter analyzed the effect and functional shift of Commercial Registration, the second part is aim at the fourth part of the second chapter in the second quarter and brought forward the perfection and suggestion of Commercial Registration System.
