Research On Board Of Supervisors Of Joint-stock Limited Company

The modified Company Law, which made a great advancement for the company system in China, has been passed in 27th Oct, 2005.But besides the improved aspect, there are still some defects that we did not change. In this thesis, the author puts forward some reasonable legal advice on perfecting board of supervisors of joint-stock limited company in order to be good for revising the company law.The thesis consists of three parts.Part One: the summarization of board of supervisors. At first the author analyze some basic theory of supervisor law system such as its concept, historical and characteristic, and then summarize the progress we have achieved in the modified Company Law.Part Two: compares the different models of inter supervisor system of different countries including U.S.A, Germany, Japan, to find a acceptable choice of Chinese company.Part Three: the legislative suggestions of perfecting our joint-stock Limited company. The author sets out some reasonable legal advice on perfecting board of supervisors of joint-stock limited company in order to be good for revising the company law.
