Comparisons On Corporate Governance Between Hinterland And HongKong

Nowadays, corporate governance is taken as a hot topic with international attention. Especially after a serial of significant global events arise in recent years, more and more attentions are paid on it in succession by each country. One of actions taken by the countries is to progress the reformation of corporate law. The hinterland government carried through a large-scale revision on corporate law in 2005,which is considered unprecedented in the eyes of some scholars. In Hong Kong,the Legislative Council had established its revision committee specializing on corporation law reformation since the 1984 Company Regulation was passed through. From 1997 till now, partial amendments had been carried out constantly, and among which the one in 2003 is considered a wider-range revision. However,the two amendments never leave nothing to be renovation, a new turn of reformation on corporate law is both inevitable and necessary, especially on the governance systems, where the future reformation will be directed to? It is well-known that corporate laws of hinterland and Hong Kong follow the UK/US mode and the Germany/Japan mode in governance systems respectively. As for what differences of the two modes in their intensions and extensions, it absolutely deserves our efforts to make a deeper analysis.This paper angles its emphasis on systems of corporate governance and takes it as research subject. Based on the comparison of the two corporate Laws and standing on the theory of law,this paper, esteems corporate governance to be a legal relationship. By tracking on the main line of the three main legal bodies-the governing body, the governed body and the content of governance, the paper deduces some concrete differences in the two corporate governance structures through comparison. Then through summering the features of the two laws in governance systems and achieves some inspirations, the writer tries to provide a thinking thread for improving the governance systems of hinterland and some valuable references for the revision on Hong Kong articles of incorporation as well.
