A Study Of Chinese Corporate Governance

State-owned enterprises eventually evolve to corporations after a serial of reform, and the core of a corporation is an effective corporation governance. Not only lacking of an integral theories system of corporation governance, but also no existing model for Chinese reform, it is very important to study on this field for both theory and practice.This thesis mainly describes limited shareholding corporation & limited corporation. Chapter 1 researches the origins, characteristics of corporation and the relation between corporation and its governance9 it is important that researching corporate governance must be based on researching corporate. Chapter 2 analyzes some concepts such theories as property right, market mechanism and so on. Based on it, this chapter puts forward to a set of theoretical frame about the governance which is a set of regulation influencing management and other related people. The regulation includes shareholders' leadership and other related members' influencing, the establishment and operation of shareholder convention, board, management and market influence. It is the main problem to incentive & controll the managers. The governance is consists of governing subject, governing object and governing measures. Chapter 3 describes the process and development outlook of corporation reform, and points out that it is necessary to establish modern enterprise regulation for state-owned enterprises. At the same time it is found that the main problem located in the past reform which only improve government controlling and encouragement on enterprises instead of establishing a scientific corporation governance. Chapter 4 introduces recent situation of the field in China and presents the problems in it. Chapter 5 advises that it is inevitable to consider some factors such as culture, laws, market and property right. At the same time chapter 5 gives rise to a serial of suggestions, which include various shareholder origins, the collaboration of both state-owned enterprises reforming and banks reforming, reinforcing management's responsibility sense, perfecting board and supervision committee and strengthening the incentive and controlling of management.The advantages of this thesis locate in using a pack of new methods to analyze corporation governance. But due to the time and ability, it may be some shortcomings. It is pleased for any criticism or opinion.
