The board of the supervisors functions as a supervising authority that deserves remarkable attention in the design of the company structure. It plays a pivotal role in improving the power balance and the sound development inside the organization. With regard to this, the paper focuses on the similarities and differences of the legal system of the supervisory board between the Chinese mainland and Taiwan Province from seven perspectives, and by this comparison, makes some suggestions for the improvement of the establishment of the legal system of the board in the Chinese mainland.In addition to the introduction and conclusion, the paper consists of three major chapters.The first chapter gives a brief account on the legal systems of the supervisory board in both the mainland and Taiwan, including the structure of the systems in different types of organizations, the legal status and the basic authority of the supervisors, the organization of the stuff, the term of office, as well as the rights and obligations, and etc.The second chapter takes Corporation as an example to make a comparison between the legal systems of the supervisory board between the Chinese mainland and Taiwan Province. The comparison mainly focuses on the establishment of the board, the qualification of the supervisors, their employment and discharge, terms of office, authority, obligations and duties, as well as the way of enforcement of the authority.The last chapter tries to draw lessons from the above comparison. Suggestions are proposed in the following three areas of the legal system of the supervisors in the mainland: to improve the independence of the board, to enlarge the scope of the board authority, and to ensure the enforcement of the power and improve the qualifications and duties of the supervisors.
