| An efficient corporate management structure is one of the most important factors affecting the core competitiveness of state-owned insurance companies.In addition,a legal system concerning insurance companies can provide a solid foundation and support for the efficient management structure.Although an institutional framework has been established with the state-owned insurance companies' being listed on the stock market after being re-organized according to the modern corporate system,the question of how to transform thoroughly from "appearance likeness" to "spirit likeness" still needs to be solved.Compared with other enterprises,insurance companies have their own features. What's more,the state-owned insurance companies are a special form of insurance companies.Thus,the management structure is quite different from others.Based on the empirical analysis of the practice of the management structure in these companies through corporate management structure theory,this paper tries to provide helpful suggestions for the target construction of these companies.This paper can be divided into four parts.In the first part,it discusses the definition and theoretical origin of corporate management structure.Then it describes the necessity and relevant principles of adopting the corporate management structure in the state-owned insurance companies.Part two draws an analysis on the similarities and differences of the corporate management structures respectively under the two main law systems.By analyzing the status quo of the management structure in our state-owned insurance companies,part three points out the problems existing in the structure and further investigates the legal root that causing these problems.Based on part three,the fourth part discusses the corporate management structure which really fits our national conditions.In addition,it takes an overview on the target construction of the management structure of our state-owned insurance companies in the perspective of reconstructing the ideas of corporate management structure,improving the legal system, and facilitating the external legal environment. |
