Establishment And Perfection Of The Corporate Governance Mode In DA Company

With the development of the socialist market economy, the establishment of modern enterprise system in state-owned enterprise is continuously deepened. During this course of time a great deal of practice and research in leadership system restructuring has been done by the state-owned enterprises. The state-owned enterprise has different characteristics from other ordinary enterprises in setup, form and basic function of the corporate governance. In reforming and system innovation of the state-own enterprise, the research and study of the corporate governance mode and its operating mechanism that is suitable for the situation of our country, is not only important to the enrichment and development of the theory in enterprise system, but also has realistic significance in deepening the reform and improving governance performance in state-owned enterprise under the socialist market economy condition and in light of the important decision to invigorate the old northeast industry base supported by the state. DA company is one of 512 large and medium size enterprises specially supported by the state in policy. In recent years, in light of the policy of the Party Central Committee and the active demand of development, the company has continuously deepened the corporate system reform in according with the enterprise' s actual condition, gradually has set up and perfected "3+2" corporate governance mode, has made positive research and practice in establishing and perfecting the enterprise' s leadership system, gradually has set up and perfected "3+2" corporate governance mode, has basically solved several problems that the board of directors could not reach the designated position, the incoordinated relationship between "thethree old organizations" (the Communist Party committee, workers' congress and trade union) and the "new three boards or meetings in enterprises" and etc, thus has provided strong leadership guarantee for the enterprise' s reform and economy development. Through the case and case analysis the paper describes the process of establishing and perfection of the corporate governance mode in DA company, and the characteristics of the system arrangement, organizations and working mechanism.
