With the arrival of knowledge economy age, we are in a new time varying from traditional industry society to that of intellectual economy society. Intellectual property right has been paid much attention on as a new means of investment. The discussion about the patent right's investment is always the focus. It's the common economic and legal phenomenon in practice to invest with the patent right's using. But now in our Company Law, there is no permission or prohibition about it. It's still in fierce academic discussion that whether it should be allowed to invest with patent right's using. So the study of legal Problems about investment of patent right's using is significant for the establishment and consummation of the whole system.From the point of background and practice, in this thesis, I want to make a deep study on the problems of investment of patent rights' using. There're some parts in detail: firstly, it will introduce the summary about investment of patent rights' using, mainly introducing the basic problems about it. Secondly, it will analyze the necessity and possibility of the environment, mainly about the necessity and possibility in the new economic environment.Thirdly, it will introduce the composing factors, mainly analyzing from owner,object,process. Then, it will discuss the evaluation of the investment, mainly about the evaluating problems and means. In addition, it will study the investing obligation of the shareholders, mainly analyzing of keeping away risk problem about it. Finally, this thesis will pay much attention on the advice about consummating the investment system, mainly focus on the legislation and practice and bring out the advice.The investment of patent right's using is an important kind of intellectual property right investment, involving the interests of patentee,investing enterprises, creditors and so on. The study about this investment is significant both in theory and in practice. I want to devote my study to our investment system of patent right's using.
