Nowadays, As the process of marketization goes deeper,the demand ofpatents and other knowledge products in commercial activities will far beyondthe limitations of the system in business area which is caused by rapiddevelopment of the knowledge-based economy. Therefore, if we just consider thesecurity and stability of patents investment, which would stop it’s developing andget away from the times.Therefore, the author believes that it is beneficial and it is the fundamentalof consistent development of the social system to protect the benefit of creditorand to enforce the security of business behaviors, while for a company to betteruse the intellectual property rights, such as patents, in its capital operation, weshould study those functional methods from common law and civil law countries,establish the specialized regulations for capitalizing the copy rights, andencourage the copy rights capitalization to play more economically valuable rolesin general company operation in China.This article is divided into five chapters. The first chapter is introductionwhich is to present the source of research paper, investment research status atpresent, research route, methods, and significance.The second chapter expounds the basic connotation and characteristics ofpatents investment and defines the concept about the issues of patent rightinvestment from the perspective of company law.The third chapter discusses and analysis the problem of the patentinvestment on the basis of value and significance that we should adhere to theprinciple of safety as the main basis to pursue efficiency, so the patent rights mayshow its economic value effectively in the process of capitalization.The fourth chapter on a comparison of the foreign legislation, introducescommon law’s, civil law’s major countries on issues related to the regulations andmeasures, analyzes and learns how the issue of patent investment reasonablestandard in a different system.The fifth chapter mainly consider the specific conditions in china, whichrequires us to treat the problem of fuzzy object in patent investment, single model of investment evaluation startup and indeterminate investment risk responsibilityin a dialectical perspective combined with shortcomings in China’s patentinvestment by using the above-mentioned theoretical basis.On the basis of the foregoing analysis, the sixth chapter points out that weexpert to serve as focused references on application in patents investment andcarry out useful assumption in relevant practice from the analysis of the valueorientation implied in Companies Act.
