Under the situation of this economic crisis, most of the companies will face the problem of funding shortage, especially for those small and middle size companies. Maybe there are more than one way to solve this problem, such as Loan or Securitization or IPO, but all these ways have very strict rules or will coast a long time. The Copyright Securitisation has ascendants. First,it could promote the liquidity of those company. Second, Copyright Securitisation could enhance the utilization rate. Third, the company will not need large amount of assets or cash. Third,the mode of financing by Copyright Securitisation costs much less than traditional modes. I hope this mode of financing could develope in our country, I hope it could be helpful to those companies.After ten years' development,there are many cases in Copyright Securitisation in USA, Europe and Japan, but because of its short history and small scales,Copyright Securitisation still has not much influence. Even those developed countries' laws about Copyright Securitisation are not as sound as bell .In addition, because Copyright has much complex relationship than common asset,its process of Securitisation is much more complex. All these restricted its development,and I think there is a big gap to it was expected.The article is composed with four parts. The first part is abstract to introduce the background. The second part will summarize the Copyright Securitisation, includes some concepts related to it and its history abroad. The third part analysis the Law Issues in this Copyright Securitisation process, include its Participator and Fundamental Relationship, Process and cases. The fourth part will analysis the three key juristic affair: True Sale, SPV, Evaluation, and will give some advises to those questions.
