Protection To The Minority Shareholders' Equity In Listed Companies

This paper mainly discusses protection to the minority shareholders' equity in listed companies of China.The Minority Shareholders has played a very important role in China's stock market and their confidence of investment has directly related to the steady development of our capital market.In reality,the minority shareholders are in a weaker position compared with other investors of the stock market,which leads to a result that their equity are easily infringed.This situation seriously reduces minority shareholders' enthusiasm in investing to listed companies and affects the sound development of our social economy.Thus how to strengthen the protection to the minority shareholders' equity has been one of the most urgent problems that the legislation about China's company needs to solve.For this part,our legislation has already adopted a series of practical measures to protect the minority shareholders' equity.However,with the development and reform of the stock market,the infringements to the minority shareholders' equity continuously take place.Just under such a background,this paper analyses some problems about protection to the minority shareholders' equity in listed companies.First of all,this paper analyses the theoretical basis of the protection to the minority shareholders' equity,then it discusses the status quo of the minority shareholders' equity in listed companies of China.Furthermore it analyses relevant provision on this problem,which separately stated in foreign company law and China Company Law.Finally it elaborates how to protect the minority shareholders' equity from the perspective of enhancing corporate governance.
