Employee Stock Ownership originated from the United States, and Louis·Kelso who was the famous economist and lawyer firstly proposed the Employee Stock Ownership Plan in the early 20th century. Employee stock ownership plan after germination in the United States, has now been widely adopted by various countries. However, because lack of a clear and unified legal system about ESOP in our country, various regions legislate different regulations. Because of this, a variety of employee stock carriers emerge from practice in our country, which also brought a number of legal disputes.Firstly, the insurance company takes the improper selection about the employee stock carriers in the case, leading to the dispute of employee stock ownership. The essay dissertates not only from practice to theory and from the economy to the law, but also in an integrated analysis and comparative analysis. Combining China's existing legal system, the essay studies the theory and practice about the employee-owned carrier in China, and discusses the advantages and disadvantages about the direct holdings employees, employee-owned club, staff holding company, trust carrier, and the most basic type. Referring to foreign employee-owned carrier selected rational factors; the essay considers that the best option to achieve the Trust Employee Stock Ownership Plan is Trust carrier. The purpose of this essay is that, should how to select the employee-owned carrier to achieve the purpose of employee ownership in our current legal environment, and promote the employee stock ownership plan's development.
