The Legal Problem Research On Corprate Environmental Responsibility

Modern environmental problems are produced in the process of industrialization and modernization.In early corporate legislation,it emphasized on selfish departmentalism which is the guiding ideology.Therefore,people maintain that corporations are only the organizations of shareholders'collective contributions and interests ,and the only goal of them is to pursue maximizing shareholders'value. Corporations,as the main participants of economic activities of modern society,should and have the responsibility to put environmental protection and management into their business decision to achieve the corresponding goal of themselves development and sustainable development of social economy. At present,China has put forward a development model of recycling economy.Corporate environmental protection responsibility needs to have strong theoretical support,so the issue of corporate environmental responsibility has become a new topic of theoretical circle which needs to be solved urgently.Since 1930s, under the influence of frequent occurrence in environmental pollution,large-scale movement of environmental protection has rised all over the world.All sections of society have payed more and more attention to corporate environmental protection responsibility and the international community also needs to take some measures to solve the increasing environmental problem. The United Nations held a conference on human environment in Stockholm, Sweden.At the meeting,"Declaration on the Human Environment"has been published,stressed that humans have the responsibility and obligation to protect the natural environment while developing and utilizing nature. In ( revised edition) published by the International Organization of Social Responsibility in December 12,2001, it involves corporate emvironmental protection responsibility. This paper will be from the perspective of environmental law to study corporate environmental responsibility. The paper can be divided into six parts and its main contents are as follows:In introduction part,it mainly gives a brief explanation on modern environmental problems. In the second part,through defining the concept and the theory of corporate environmental responsibility and on the basis of recognizing whether it's ethical or legal responsibility,it provides possibility for further research of corporate environmental responsibility and concises that corporate environmental responsibility is the legal duty of corporations. In the third part,through the specific analysis of features of the way to take corporate environmental responsibility,it comprehensively describes the differences between corporate environmental civil liability , environmental administrative liability ,environmental criminal liability and general civil liability, administrative liability, criminal liability. In the forth part,through analysing the current situation of environmental responsibility of Chinese corporation,it clears up the relative rules of corporate environmental responsibility in current laws.It illustrates the necessary and rationality of the theoretical study of corporate environmental responsibility. In the fifth part,it analyses the problems existed in corporate environmental responsibility.This part, from legislative and practical aspects,analyses the relative problems while corporations in our country taking environmental protection responsibility,which lays the foundation of institutional building in next part. In the sixth part,it presents institutional building for achieving corporate environmental responsibility in our country.In conclusion part,it is the miniature of the paper.
